1. Definitions

• User: Any individual or entity accessing or using the Marketplace.
• Seller: A User listing products for sale on the Marketplace.
• Buyer: A User purchasing products on the Marketplace.
• Products: Used, unused, refurbished, or "as is" wind turbines, or spare parts and associated equipment listed for sale or purchase.
• Services: The features, functionalities, and tools made available by RepowerLab on, or off the Marketplace.

2. Eligibility and Account Registration

• Users must be at least 18 years old and legally capable of forming a binding contract.
• Business Users must provide valid legal business registration and tax information.
• Users are responsible for maintaining the confidentiality of your their credentials.
• User agree to provide accurate, current, and complete information during registration and to update it as necessary.

3. User Conduct and Responsibilities

Users agree not to:

• Violate any applicable law or regulation.
• Post false, misleading, or fraudulent information.
• Infringe on the intellectual property rights of others.
• Attempt to gain unauthorized access to other accounts or systems.
• Use the Marketplace to sell illegal, counterfeit, or prohibited items.

4. Listing Products

Sellers must ensure that:

• They have the legal right to sell listed Products.
• Product descriptions are accurate, including specifications, conditions, photos, documentation, and certifications.
• Listings comply with all applicable safety, trade, and export regulations.
• All Products are free from liens and encumbrances.

5. Buying Products

• Buyers are responsible for reviewing listings, conducting due diligence, and confirming product compatibility.
• A purchase order becomes binding when accepted by the Seller via the Marketplace.
• RepowerLab is not a party to the transaction and does not guarantee the quality, condition, or legality of listed Products.

6. Payment Terms and Fees

• Payments are processed through authorized third-party payment providers.
• Sellers agree to pay applicable listing fees and transaction commissions as disclosed during account setup or in the Seller Dashboard.
• Buyers may be subject to administrative or currency conversion fees depending on the payment method and location.

7. Shipping and Delivery

• Responsibility for shipping logistics, insurance, and customs compliance lies with the Seller unless otherwise agreed.
• Sellers must provide accurate shipping information and dispatch items within the agreed timeframe.
• Buyers assume responsibility for import duties and taxes unless specified.

8. Returns, Refunds, and Disputes

• Returns and refunds are subject to agreement between Buyer and Seller unless otherwise provided in the listing.
• RepowerLab provides a limited dispute resolution mechanism but does not arbitrate commercial contract disagreements.
• Disputes must be reported within 15 days of product delivery.

9. Intellectual Property

• Users retain ownership of content they upload but grant RepowerLab a global, royalty-free license to use, display, and distribute such content for Marketplace operations.
• Users must not upload infringing content. DMCA and other copyright takedown requests will be handled promptly.

10. Limitation of Liability

• RepowerLab provides the Marketplace "as-is" and disclaims warranties of merchantability, fitness, and non-infringement
• RepowerLab is not liable for any indirect, incidental, or consequential damages arising from use of the Marketplace.
• Liability for direct damages is limited to the amount paid to RepowerLab in the 12 months prior to the claim.

11. Termination and Suspension

• RepowerLab may suspend or terminate access for violations of these Terms, fraud, or at its discretion
• Users may request account closure at any time.
• Account closure does not waive outstanding obligations (e.g., payments or disputes).

12. Compliance with Export and Trade Laws

• Users agree to comply with all applicable import, export, and trade sanctions laws, including those of the U.S., EU, and UN.
• Users are responsible for obtaining any required licenses or permits for international transactions.

13. Modifications to the Terms

• RepowerLab reserves the right to modify these Terms at any time.
• Updated Terms will be posted with an updated "Last Updated" date. Continued use of the Marketplace constitutes acceptance.

14. Governing Law and Jurisdiction

• These Terms shall be governed by the laws of the State of Delaware, USA.
• Any disputes shall be submitted to the exclusive jurisdiction of the courts located in Delaware, unless otherwise mutually agreed.
